Service Provider: Media BD Agency
Service: Facebook Ads, Google Ads, Media Buying, Campaign Setup, Optimization, Creative Support, and Reporting
By purchasing or confirming any Facebook Ads, Google Ads, or digital advertising package from Media BD Agency, the client agrees to the following Terms & Conditions.
1. Service Scope
Media BD Agency provides digital advertising campaign services, including but not limited to:
- Business analysis
- Audience research
- Campaign planning
- Facebook and/or Google Ads setup
- Ad creative development
- Ad copywriting
- Campaign launch
- Monitoring and optimization
- Budget adjustment suggestions
- Performance reporting and insights
The exact services included depend on the selected campaign package.
2. Package Duration
Campaign packages may run for 3 days, 7 days, 10 days, 15 days, 20 days, or 30 days, depending on the client’s selected package.
Campaign duration starts from the date the campaign goes live, not from the date of payment, unless otherwise agreed in writing.
3. Ad Spend and Service Fee
The package price includes two separate parts:
- Ad Spend: The amount paid to Facebook, Meta, Google, or any advertising platform for showing ads.
- Service Fee: The management fee charged by Media BD Agency for strategy, setup, creative work, optimization, monitoring, and reporting.
Ad spend is not the agency’s earning. It is used for running advertisements on the selected platform.
Service fee is non-refundable once campaign planning, setup, creative work, or account work has started.
4. Payment Terms
Full payment may be required before campaign work begins unless Media BD Agency agrees otherwise.
Payment must be made through the approved payment method provided by Media BD Agency.
Any delay in payment may delay the campaign launch, campaign continuation, optimization work, or reporting.
5. Client Responsibilities
To start and run the campaign properly, the client must provide accurate and complete information, including:
- Business page or ad account access
- Product or service details
- Offer details
- Target location
- Campaign goal
- Budget
- Contact method
- Website or landing page, if needed
- Product images, videos, logos, or brand assets, if available
- Any legal approval required for regulated products or services
Media BD Agency is not responsible for poor results, delay, rejection, or account issues caused by incomplete, false, misleading, late, or non-compliant information provided by the client.
6. Campaign Approval and Platform Review
All ads are subject to review and approval by Facebook, Meta, Google, or other advertising platforms.
Media BD Agency cannot guarantee that every ad will be approved by the platform.
If an ad is rejected, Media BD Agency may edit or suggest changes to improve compliance. However, final approval depends on the advertising platform.
7. Platform Policy Compliance
The client agrees that their business, product, service, offer, landing page, content, and claims must comply with all applicable advertising platform policies, including Meta Advertising Standards and Google Ads policies.
Media BD Agency may refuse, pause, cancel, or modify a campaign if the client’s product, service, claim, creative, landing page, or business model appears risky, misleading, illegal, restricted, or against platform policies.
This may include, but is not limited to:
- False or unrealistic claims
- Misleading offers
- Prohibited products or services
- Restricted medical, financial, gambling, political, adult, or sensitive content
- Copyrighted or stolen content
- Fake reviews or fake guarantees
- Before-and-after claims that violate platform rules
- Discriminatory targeting or messaging
- Poor landing page experience
- Unsafe or suspicious websites
8. No Guaranteed Sales, Leads, or Profit
Media BD Agency does not guarantee sales, leads, messages, calls, profit, revenue, followers, page growth, or a fixed return on ad spend.
Advertising results depend on many factors, including:
- Product or service quality
- Offer strength
- Market demand
- Pricing
- Competition
- Audience behavior
- Website or landing page quality
- Brand reputation
- Response speed
- Sales team performance
- Ad budget
- Platform algorithm
- Campaign duration
Short campaigns, especially 3-day test campaigns, are mainly for testing audience, creative, offer, and initial response. Stable results usually require longer testing and optimization.
9. Campaign Optimization
Media BD Agency may optimize campaigns by adjusting:
- Audience
- Budget
- Placement
- Creative
- Copy
- Campaign objective
- Ad schedule
- Low-performing ads
- Best-performing ads
Optimization decisions are made based on available campaign data and professional judgment. However, optimization does not guarantee specific results.
10. Creative and Copy Revisions
Each package includes a limited number of ad creatives depending on the selected package.
Additional creatives, major redesigns, video editing, landing page design, advanced tracking setup, or extra revisions may require additional charges.
Client approval delays may delay campaign launch or reduce the effective campaign running time.
11. Reporting
Media BD Agency will provide campaign reporting based on the selected package and campaign duration.
Reports may include metrics such as:
- Reach
- Impressions
- Clicks
- Messages
- Leads
- Cost per result
- Budget spent
- Performance summary
- Improvement suggestions
Platform data may change slightly due to reporting delays, attribution updates, or platform-side adjustments.
12. Client Account, Page, and Access Issues
Media BD Agency is not responsible for issues related to:
- Disabled ad accounts
- Restricted business managers
- Page quality problems
- Payment method failure
- Previous policy violations
- Hacked or compromised accounts
- Client-side access removal
- Platform bugs or review delays
- Account spending limits
- Verification problems
If the client’s ad account, page, business manager, or payment method has issues, campaign launch or delivery may be delayed or stopped.
13. Refund Policy
Ad spend already used by the advertising platform is non-refundable.
Service fee is non-refundable once work has started, including research, planning, creative work, campaign setup, or consultation.
A refund may not be provided if:
- The client changes their mind after work begins
- The platform rejects ads due to client’s business, product, or claims
- The client provides incorrect or incomplete information
- The client delays approval or access
- The client’s account is restricted, disabled, or limited
- The campaign does not generate expected sales, leads, or profit
Any refund request will be reviewed at Media BD Agency’s sole discretion.
14. Cancellation Policy
The client may request cancellation before campaign launch.
If cancellation is requested after work has started, Media BD Agency may deduct the service fee or any completed work cost.
If the campaign is already live, used ad spend cannot be refunded.
15. Delays and Force Majeure
Media BD Agency is not responsible for delays caused by:
- Client’s late response
- Late payment
- Missing access
- Platform review delay
- Technical problems
- Policy review
- Payment failure
- Internet outage
- Platform downtime
- Natural disaster, political unrest, or other events outside agency control
In such cases, Media BD Agency may revise the timeline where reasonable.
16. Content, Claims, and Legal Responsibility
The client is responsible for ensuring that all business information, product details, pricing, offers, claims, images, videos, testimonials, and landing page content are accurate, legal, and not misleading.
Media BD Agency is not liable for legal claims, consumer complaints, copyright issues, policy violations, or regulatory problems caused by the client’s business, product, service, or content.
17. Intellectual Property
Creative materials made by Media BD Agency for a paid campaign may be used by the client for that campaign.
Unless otherwise agreed, Media BD Agency may retain the right to use campaign designs, screenshots, results, or summaries for portfolio, case study, or marketing purposes without revealing sensitive client information.
The client must not resell, copy, or reuse agency-created strategy, copy, creative, or campaign structure for other businesses without written permission.
18. Confidentiality
Both parties agree to keep sensitive business information confidential.
Media BD Agency will not intentionally share the client’s private business data, campaign access, customer data, or strategy with unrelated third parties, except where required for campaign execution or legal compliance.
19. Limitation of Liability
Media BD Agency’s maximum liability for any claim related to the campaign shall not exceed the service fee paid by the client for that specific campaign.
Media BD Agency is not liable for indirect losses, lost profit, lost sales, business interruption, account suspension, platform rejection, customer complaints, or third-party actions.
20. Right to Refuse Service
Media BD Agency reserves the right to refuse, pause, or cancel any project that appears illegal, misleading, unethical, harmful, high-risk, or against advertising platform policies.
21. Changes to Terms
Media BD Agency may update these Terms & Conditions at any time.
The latest version published on the website or shared with the client will apply to future bookings and campaign requests.
22. Agreement Confirmation
By making payment, confirming a package, submitting campaign details, or requesting campaign launch through website, phone, WhatsApp, email, or any other communication method, the client confirms that they have read, understood, and agreed to these Terms & Conditions.
